GETTING STARTED I attended the Jan. 31 accredited np seminar called "Do It Right the First Time" at the Nonprofit Financial Center mentioned at our last meeting. I now feel that we can proceed with the incorporation process. The lawyer who gave the seminar happens to be the same person who wrote the only book in existence that explains exactly how nonprofit organizations in Illinois are created, step-by-step. Her name is Kathryn Vanden Berk, JDShe has both a law degree and a journalism degree from U. of Wisconsin and is very experienced and well connected in the np community in Chicago. She has excellent contacts for all sorts of things we will need and will be a superb resource as we proceed. When the class was over she invited me to call her with any questions I have and said that she would like to provide legal advice for our project. Not bad for $80. Specifically, we first need to Incorporate in Illinois as a nonprofit business with the Secretary of State. There is a $50 fee to file incorporation papers there. (The Secretary of State name reservation fee of $25 is not necessary.) Expedited filing (one day versus "4 weeks") is an additional $100. We will need that. We also need three signatures and the address of each signatory as well. I NEED ALL OF YOUR STREET MAILING ADDRESSES ANYWAY SO PLEASE SEND THEM TOO. I NEED THEM BEFORE I START THE DOCUMENT ON ITS WAY TOWARDS YOU. (I HAVE DALE'S AND THE BILD' S STREET ADDRESSES ALREADY.) Andwhile you're at it, give me any fax numbers you each may be reached through. Please send the document along to the next person promptly after you sign it. Next is what looks like a $25 filing fee at the recorder of deeds. Our office of records will be in Skokie. I checked and Skokie does not require any occupancy or business license fees of any type for our effort. Next we get a Federal employer ID number which is free. THEN we will need to file the federal 1023 form. which will be $150. (I checked the wording on this and it said the fee is $500 if you ANTICIPATE having gross receipts averaging more than $10,000 per year. (I hope for the best but anticipate the worst.) And there is a $15 Atorney General fundraiser solicitation form filing fee after that. Our budget will look like this: $80 - seminar fee $20 - postage $25 - post office box $50 - secretary of state inc. fee $100 - expedited state incorporation fee $25 - filing fee cook county recorder of deeds $150 - federal np incorporation fee $15 - Attorney General solicitation filing fee ________ $465 So Dale, Todd, Bernice, Sid, Bob, Larry, Ron (and Scott) each need to put in $58. We don't have a bank account so make the checks out to Scott Sanders. GRANTS 1. We will just lightly skip over the fact that I "misunderstood" Jerry Starr's assurances and that he was only talking about in-kind (not general) support being available from CIPB. We will include his standing offer of a few thousand dollars of in-kind grants, i.e. printing, film/video rental costs and speaker fees but we will get it in signed written form from him before we make any representations to foundations. (Illinois Peace Action still wants to share space with us and is putting their moving plans more or less back on the back burner, though if they happen to be offered a great deal they will move on it whether or not we are ready.) 2. Starr has sent a two page letter of inquiry to the MacArthur Fdtn. and received a grant # from them, which means they are still considering it and have not dismissed it out of hand. Soon after Jerry inquired, Bill Moyers sent MacArthur a letter suggesting they support CIPB's work. This is a considerable help to us also of course. CIPB national is applying to the MacArthur national grant program and we are applying to the Chicago grant program (among other foundations). His deadline is the end of Feb/beginning of March. We have no deadline and can apply when we are ready. Jerry believes that we will get our MacArthur grant. 3. We will need Labor Beat to be our fiscal sponsor and will need to know this is definite by the time we apply. Our MacArthur grant program, unlkike Jerry's, does not ask for an inquiry letter first. We just send a proposal and support materials. 4. I am toiling away on the full proposal itself. 5. Jerry has suggested that we each try to get some organizational endorsers of the CIPB mission statement - the declaration of public broadcasting independence statement on the cipb website at and that we try first to get endorsements FROM CHICAGO GROUPS WORKING ON CHICAGO ISSUES THAT MACARTHUR IS CURRENTLY FUNDING. We do not have adequate and current structural and process assessments of any of the stations. Therefore, before we submit our MacArthur grant, we must split into pairs, make a visit and probably a followup call to each of the stations.
